Usługa „Neutral Dive dla centrów nurkowych” · obowiązuje od 2026-09-29

W skrócie: aplikacje Balast i Ocieplenie oraz Planer nurkowania są dla nurków bezpłatne. Ten regulamin dotyczy tylko płatnej usługi dla firm — wersji obu aplikacji w barwach centrum nurkowego z panelem aktualności. Pierwsze 3 miesiące są bezpłatne, później płacisz miesięcznie albo rocznie przez Paddle, a zrezygnować możesz w każdej chwili.

1. Usługodawca

Usługę świadczy Maciej Korzeniowski, osoba fizyczna, ul. Julianowska 82e, 05-509 Julianów, Polska („Usługodawca”, „my”). Kontakt: [email protected].

2. Definicje

3. Tylko dla firm

  1. Usługa jest przeznaczona wyłącznie dla przedsiębiorców. Zamawiając, Klient oświadcza, że działa w związku ze swoją działalnością gospodarczą i podaje prawdziwe dane firmy, w tym numer VAT UE albo numer rejestrowy.
  2. Do umowy nie stosuje się przepisów o prawach konsumenta, w tym o prawie odstąpienia od umowy zawartej na odległość. Nie wyłącza to polityki zwrotów (Zwroty).
  3. Osoba składająca zamówienie oświadcza, że jest upoważniona do działania w imieniu Klienta.

4. Zawarcie umowy

  1. Umowa zostaje zawarta, gdy Klient złoży zamówienie (w kreatorze na stronie albo e-mailem) i zapisze się na Plan przez Paddle, a my potwierdzimy to e-mailem.
  2. Klient akceptuje ten regulamin przy zamówieniu. Aktualna wersja jest zawsze pod adresem neutraldive.com/terms.
  3. Możemy odmówić zawarcia umowy albo zamknąć szkic zamówienia, gdy dane firmy są nieprawdziwe, firma korzystała już z okresu próbnego albo Materiały Klienta naruszają pkt 9.

5. Co zawiera Usługa

Ikony i wygląd Aplikacji pozostają nasze — Klient zmienia ich kolory, nie ich rysunek. Klient nie otrzymuje kodu źródłowego ani prawa do jego zmiany. Aplikacje pozostają naszą własnością intelektualną; Klient otrzymuje niewyłączne, nieprzenoszalne prawo do korzystania z Usługi na czas trwania umowy.

  1. Ceny są cenami netto. Podatek VAT albo podobny podatek nalicza Paddle zgodnie z przepisami kraju Klienta; dla zweryfikowanych firm z UE stosowany jest mechanizm odwrotnego obciążenia.
  2. Powyżej 10 Lokalizacji — oferta indywidualna ([email protected]).
  3. Po okresie próbnym opłaty nie podlegają zwrotowi, z wyjątkami opisanymi w polityce zwrotów.
  4. Zmiana cen nie dotyczy opłaconego okresu. O nowej cenie informujemy e-mailem co najmniej 30 dni przed pierwszym obciążeniem po zmianie; Klient może wcześniej zrezygnować.
  5. Klient może zmienić Plan w każdej chwili. Przejście na wyższy Plan jest rozliczane proporcjonalnie od razu, na niższy — od następnego okresu rozliczeniowego. W okresie próbnym zmiana Planu jest bezpłatna.

7. Okres próbny

  1. Każdy Plan zaczyna się od 3 miesięcy bezpłatnego okresu próbnego. Wersja centrum jest publikowana od razu po zapisie.
  2. Przy zapisie Klient podaje metodę płatności. Pierwsza opłata zostaje pobrana w dniu zakończenia okresu próbnego — kwotę i datę pokazujemy przed zapisem i w e-mailu powitalnym.
  3. 7 dni przed końcem okresu próbnego wysyłamy e-mail z przypomnieniem, kwotą i linkiem do rezygnacji.
  4. Rezygnacja przed końcem okresu próbnego oznacza brak jakiejkolwiek opłaty.
  5. Okres próbny przysługuje raz na firmę (numer VAT / rejestrowy). Kolejne zamówienie tej samej firmy jest płatne od początku.

8. Płatności

  1. Płatności obsługuje Paddle jako sprzedawca (Merchant of Record). Paddle przyjmuje płatność, wystawia faktury i rozlicza podatki; do samej transakcji stosuje się także warunki Paddle dla kupujących (paddle.com/legal/checkout-buyer-terms).
  2. Subskrypcja odnawia się automatycznie na kolejny okres rozliczeniowy (miesiąc albo rok), a opłata jest pobierana z góry na jego początku.
  3. Kartę, dane do faktury i rezygnację Klient zmienia w portalu klienta Paddle; link jest w Panelu i w e-mailach od Paddle.
  4. Gdy płatność się nie powiedzie, Paddle ponawia ją przez kilka dni. Jeśli nadal się nie uda, możemy zawiesić Usługę (pkt 11).

9. Materiały Klienta

  1. Klient zapewnia, że ma prawa do Materiałów Klienta (w szczególności do logo i znaków towarowych) i że ich publikacja nie narusza praw osób trzecich ani przepisów.
  2. Klient udziela nam niewyłącznej, bezpłatnej licencji na przechowywanie, przetwarzanie (np. zmianę rozmiaru, przekolorowanie ikon, wygenerowanie kodów QR) i publiczne udostępnianie Materiałów Klienta w Wersji centrum na czas trwania umowy — na całym świecie, bo Aplikacje są dostępne w internecie.
  3. Nurkowiska. Nurkowiska dodane przez Klienta (nazwa, położenie, rodzaj wody, temperatury) możemy po sprawdzeniu dołączyć do wspólnej listy akwenów w Aplikacjach — w wersji głównej i u innych centrów. Na ten cel Klient udziela bezterminowej, nieodwołalnej, bezpłatnej licencji; nazwa Klienta nie jest przy tym pokazywana. Nie dotyczy to logo ani danych kontaktowych.
  4. Katalog sprzętu. Klient wybiera pozycje z naszego katalogu. Parametry sprzętu w katalogu są szacunkami albo danymi producentów; Klient nie może przedstawiać ich Kursantom jako gwarancji.
  5. Aktualności. Za treść aktualności odpowiada Klient. Aktualności nie mogą wprowadzać w błąd, zawierać treści bezprawnych, obraźliwych ani zachęcać do nurkowania ponad uprawnienia. Możemy usunąć albo ukryć aktualność naruszającą ten punkt.
  6. Klient dba o poufność dostępu do Panelu i wskazuje tylko adresy e-mail osób, które mają zmieniać aktualności.

10. Adres Wersji centrum i dane Kursantów

  1. Adres neutraldive.app/<id>/ jest wybierany przy zamówieniu i nie może być później zmieniony — pod nim Kursanci trzymają swoje dane w telefonach.
  2. Dane Kursantów (sprzęt, nurkowania, oceny) są zapisywane wyłącznie na ich urządzeniach. Nie mamy do nich dostępu i nie przekazujemy ich Klientowi. Klient nie otrzymuje od nas żadnych danych o Kursantach.
  3. Po zakończeniu umowy albo zawieszeniu Usługi adres Wersji centrum nadal działa, ale pokazuje Aplikacje bez barw, logo, aktualności i danych Klienta — dzięki temu Kursanci nie tracą danych. Identyfikator <id> pozostaje zarezerwowany dla Klienta; po wznowieniu subskrypcji barwy wracają pod tym samym adresem.

11. Zawieszenie

Możemy zawiesić Usługę (Wersja centrum pokazuje wtedy Aplikacje bez barw Klienta), gdy:

O zawieszeniu i jego przyczynie informujemy e-mailem. Po usunięciu przyczyny przywracamy Usługę.

12. Czas trwania i rezygnacja

  1. Umowa jest zawarta na czas nieokreślony i trwa, dopóki subskrypcja się odnawia.
  2. Klient może zrezygnować w każdej chwili w portalu klienta Paddle albo pisząc na [email protected]. Rezygnacja działa na koniec opłaconego okresu; do tego dnia Wersja centrum działa w pełni. Zwroty opisuje polityka zwrotów.
  3. Możemy wypowiedzieć umowę z zachowaniem 30 dni wypowiedzenia na koniec okresu rozliczeniowego, a bez wypowiedzenia — przy rażącym naruszeniu regulaminu. Jeśli kończymy świadczenie Usługi z przyczyn niezależnych od Klienta, zwracamy proporcjonalną część opłaty za niewykorzystany okres.
  4. Na żądanie Klienta po zakończeniu umowy usuwamy Materiały Klienta i konta w Panelu (z wyjątkiem danych, które musimy przechowywać z mocy prawa). Zarezerwowany identyfikator adresu zostaje, żeby nie przejęła go inna firma.

13. Dostępność i zmiany Usługi

  1. Dokładamy starań, żeby Usługa działała bez przerw, ale nie gwarantujemy określonego poziomu dostępności. Aplikacje po pierwszym uruchomieniu działają w telefonie bez internetu, więc przerwa po naszej stronie zwykle nie przeszkadza Kursantom.
  2. Rozwijamy Aplikacje — możemy zmieniać ich wygląd, funkcje i modele obliczeniowe. Nie usuniemy bez uprzedzenia elementów, które opisuje pkt 5. O istotnych zmianach informujemy e-mailem.

14. Bezpieczeństwo nurkowania i odpowiedzialność

  1. Wyniki Aplikacji (balast, ocieplenie, plan nurkowania, dekompresja, gazy) to szacunki z modeli. Nie zastępują szkolenia, komputera nurkowego, kontroli pływalności na 5 m ani planowania pod nadzorem instruktora. Klient nie może przedstawiać ich Kursantom jako pewnych.
  2. Nie odpowiadamy za decyzje podjęte na podstawie wyników Aplikacji, za Materiały Klienta ani za szkody wynikające z przerw niezależnych od nas (np. awarii dostawców infrastruktury).
  3. Nasza łączna odpowiedzialność wobec Klienta jest ograniczona do sumy opłat zapłaconych przez Klienta w ciągu 12 miesięcy przed zdarzeniem, a nie obejmuje utraconych korzyści. Ograniczenia nie dotyczą szkody wyrządzonej umyślnie.
  4. Klient odpowiada wobec nas za roszczenia osób trzecich wynikające z Materiałów Klienta.

15. Dane osobowe

Przetwarzamy tylko dane potrzebne do świadczenia Usługi: dane firmy i adresy e-mail osób z dostępem do Panelu. Szczegóły, w tym lista podmiotów przetwarzających, są w polityce prywatności.

16. Reklamacje

Reklamacje prosimy zgłaszać na [email protected]. Odpowiadamy w ciągu 14 dni.

17. Zmiany regulaminu

Możemy zmienić regulamin z ważnych przyczyn (zmiana przepisów, zmiana Usługi, zmiana dostawców). O zmianie informujemy e-mailem co najmniej 30 dni wcześniej. Jeśli Klient nie akceptuje zmian, może zrezygnować przed ich wejściem w życie; dalsze korzystanie z Usługi oznacza akceptację.

18. Postanowienia końcowe

  1. Umowa podlega prawu polskiemu, z wyłączeniem Konwencji wiedeńskiej o umowach międzynarodowej sprzedaży towarów.
  2. Spory rozstrzyga sąd właściwy dla miejsca zamieszkania Usługodawcy.
  3. Regulamin jest publikowany po polsku i w tłumaczeniach. W razie rozbieżności rozstrzyga wersja polska.

Terms of Service

“Neutral Dive for dive centres” service · effective from 2026-09-29

In short: the Ballast & Thermal and Dive Planner apps are free for divers. These terms cover only the paid service for businesses — a version of both apps in a dive centre's colours with a news panel. The first 3 months are free; after that you pay monthly or yearly through Paddle, and you can cancel at any time.

1. Provider

The service is provided by Maciej Korzeniowski, a private individual, ul. Julianowska 82e, 05-509 Julianów, Poland (the “Provider”, “we”). Contact: [email protected].

2. Definitions

3. Businesses only

  1. The Service is for businesses only. By ordering, the Customer confirms it acts in the course of its business and gives true company details, including an EU VAT number or a registration number.
  2. Consumer protection rules, including the right to withdraw from a distance contract, do not apply. This does not limit our refund policy (Refunds).
  3. The person placing the order confirms they are authorised to act for the Customer.

4. Conclusion of the contract

  1. The contract is concluded when the Customer places an order (in the wizard on our website or by e-mail), subscribes to a Plan through Paddle, and we confirm by e-mail.
  2. The Customer accepts these terms when ordering. The current version is always at neutraldive.com/terms.
  3. We may refuse an order or close a draft if the company details are false, the company has already had a trial, or the Customer Materials breach section 9.

5. What the Service includes

The App icons and design remain ours — the Customer changes their colours, not their drawing. The Customer receives no source code and no right to modify it. The Apps remain our intellectual property; the Customer gets a non-exclusive, non-transferable right to use the Service for the term of the contract.

  1. Prices are net. VAT or a similar tax is charged by Paddle under the law of the Customer's country; verified EU businesses are invoiced under the reverse-charge mechanism.
  2. More than 10 Locations — individual offer ([email protected]).
  3. After the trial, fees are non-refundable, except as described in our refund policy.
  4. Price changes never affect a paid period. We announce a new price by e-mail at least 30 days before the first charge at that price; the Customer may cancel before then.
  5. The Customer may change the Plan at any time. Upgrades are prorated immediately; downgrades apply from the next billing period. During the trial, changing the Plan is free.

7. Free trial

  1. Every Plan starts with a 3-month free trial. The Centre Version is published right after sign-up.
  2. The Customer provides a payment method at sign-up. The first charge is taken on the day the trial ends — we show the amount and date before sign-up and in the welcome e-mail.
  3. 7 days before the trial ends we send a reminder with the amount and a cancellation link.
  4. Cancelling before the trial ends means no charge at all.
  5. One trial per company (VAT / registration number). Later orders by the same company are paid from the start.

8. Payments

  1. Payments are handled by Paddle as Merchant of Record. Paddle takes the payment, issues invoices and handles taxes; Paddle's buyer terms also apply to the transaction itself (paddle.com/legal/checkout-buyer-terms).
  2. The subscription renews automatically for the next billing period (month or year) and is charged in advance at its start.
  3. The Customer changes the card, invoice details or cancels in the Paddle customer portal; the link is in the Panel and in Paddle's e-mails.
  4. If a payment fails, Paddle retries it over several days. If it still fails, we may suspend the Service (section 11).

9. Customer Materials

  1. The Customer warrants that it holds the rights to the Customer Materials (in particular its logo and trade marks) and that publishing them infringes no third-party rights or laws.
  2. The Customer grants us a non-exclusive, royalty-free licence to store, process (e.g. resize, recolour icons, generate QR codes) and publicly display the Customer Materials in the Centre Version for the term of the contract — worldwide, as the Apps are available on the internet.
  3. Dive sites. After review, we may add dive sites entered by the Customer (name, position, water type, temperatures) to the shared list of dive areas in the Apps — in the main version and for other centres. For this purpose the Customer grants a perpetual, irrevocable, royalty-free licence; the Customer's name is not shown with them. This does not cover the logo or contact details.
  4. Gear catalogue. The Customer picks items from our catalogue. Gear parameters in the catalogue are estimates or manufacturer data; the Customer must not present them to Students as guaranteed.
  5. News. The Customer is responsible for the content of its news. News must not mislead, contain unlawful or offensive content, or encourage diving beyond one's certification. We may remove or hide news that breaches this section.
  6. The Customer keeps Panel access confidential and adds only the e-mail addresses of people who should edit the news.

10. Centre Version address and Student data

  1. The address neutraldive.app/<id>/ is chosen when ordering and cannot be changed later — Students keep their data on their phones under it.
  2. Student data (gear, dives, ratings) is stored only on their devices. We have no access to it and do not pass it to the Customer. The Customer receives no Student data from us.
  3. After the contract ends or the Service is suspended, the Centre Version address keeps working but shows the Apps without the Customer's colours, logo, news and details — so Students do not lose their data. The <id> stays reserved for the Customer; when the subscription resumes, the colours come back at the same address.

11. Suspension

We may suspend the Service (the Centre Version then shows the Apps without the Customer's colours) if:

We inform the Customer of the suspension and its reason by e-mail and restore the Service once the reason is removed.

12. Term and cancellation

  1. The contract is for an indefinite term and lasts as long as the subscription renews.
  2. The Customer may cancel at any time in the Paddle customer portal or by writing to [email protected]. Cancellation takes effect at the end of the paid period; until then the Centre Version works in full. Refunds are covered by our refund policy.
  3. We may terminate with 30 days' notice to the end of a billing period, or without notice for a material breach of these terms. If we stop providing the Service for reasons not caused by the Customer, we refund the unused part of the fee pro rata.
  4. At the Customer's request after the contract ends, we delete the Customer Materials and Panel accounts (except data we must keep by law). The reserved address identifier remains so that no other company can take it.

13. Availability and changes

  1. We make reasonable efforts to keep the Service running without interruption but do not guarantee a specific availability level. After the first launch the Apps work offline on the phone, so an outage on our side usually does not affect Students.
  2. We develop the Apps and may change their design, features and calculation models. We will not remove the elements listed in section 5 without notice. We announce significant changes by e-mail.

14. Dive safety and liability

  1. App results (weighting, thermal protection, dive plan, decompression, gases) are model estimates. They do not replace training, a dive computer, a buoyancy check at 5 m or planning under an instructor's supervision. The Customer must not present them to Students as certain.
  2. We are not liable for decisions based on App results, for Customer Materials, or for damage caused by outages beyond our control (e.g. failures of infrastructure providers).
  3. Our total liability to the Customer is limited to the fees paid by the Customer in the 12 months before the event and excludes lost profits. These limits do not apply to damage caused intentionally.
  4. The Customer is liable to us for third-party claims arising from the Customer Materials.

15. Personal data

We process only the data needed to provide the Service: company details and the e-mail addresses of people with Panel access. Details, including the list of processors, are in our privacy policy.

16. Complaints

Please send complaints to [email protected]. We reply within 14 days.

17. Changes to these terms

We may change these terms for good reasons (changes in law, in the Service or in our providers). We announce changes by e-mail at least 30 days in advance. If the Customer does not accept them, it may cancel before they take effect; continued use of the Service means acceptance.

18. Final provisions

  1. The contract is governed by Polish law, excluding the UN Convention on Contracts for the International Sale of Goods.
  2. Disputes are resolved by the court competent for the Provider's place of residence.
  3. These terms are published in Polish and in translation. In case of discrepancy, the Polish version prevails.
